Terms of Service

1. Acceptance and Eligibility
These Terms of Service ("Terms") govern access to and use of Somavue, operated by Somavue LLC ("Somavue," "we," "us," or "our"). By creating an account, accessing a Somavue shop surface, or using the service on behalf of a shop, you agree to these Terms.
You must be at least 18 years old to create a Somavue staff account or bind an organization to these Terms. If you use Somavue on behalf of an organization, you represent that you have authority to do so.
2. Service
Somavue provides software for massage, bodywork, and adjacent wellness shops, including booking, scheduling, customer records, check-in, intake, provider coordination, payments, reminders, and reporting.
Somavue is software infrastructure. Somavue does not provide massage, bodywork, medical, legal, tax, accounting, or professional healthcare services. Shops remain responsible for their own services, licenses, customer relationships, clinical decisions, policies, and regulatory compliance.
3. Shop Responsibilities
Each shop is responsible for:
- Providing accurate organization, location, staff, service, pricing, tax, and customer-facing information.
- Maintaining required professional licenses, permits, insurance, customer consents, and notices.
- Using Somavue only for lawful business purposes and only with information the shop is permitted to collect and process.
- Obtaining and retaining any consents required for SMS, intake, treatment, guardian approval, payments, and record retention.
- Reviewing public booking settings, deposits, cancellation practices, and payment policies before accepting bookings.
4. Staff Accounts and Security
Staff users must keep their account access secure and may not share passkeys, sessions, kiosk credentials, or other access mechanisms. You are responsible for activity performed through your authorized staff accounts, integrations, devices, and kiosk credentials.
You must promptly notify Somavue if you suspect unauthorized access, a lost device, credential misuse, or compromise of an account.
5. Customer and Patient Data
Somavue stores customer, patient, appointment, intake, check-in, pain-map, payment, and communication records on behalf of the shop. The shop is responsible for the accuracy and lawful collection of that data.
Somavue may process health-adjacent information such as intake answers, consent evidence, notes, and pain maps. Somavue is designed for massage and bodywork shops and is not a substitute for a shop's own compliance program. If a shop is a covered entity or otherwise subject to healthcare privacy laws, the shop is responsible for determining whether additional agreements or controls are required before using Somavue for protected health information.
6. Payments and Platform Fees
Tenant customer payments are processed through Stripe Connect. The shop is the merchant of record for its customer payments. Somavue is not the merchant of record for services sold by the shop.
Somavue's v1 revenue model is a default 1.0% application fee on customer payments processed through Somavue, unless a different written arrangement applies. Customer refunds do not automatically refund Somavue's application fee. Application-fee refunds are reserved for explicit operator correction.
Stripe may require identity, tax, bank, payout, and compliance information directly from the shop. Stripe's services are governed by Stripe's own terms, and Stripe may delay, hold, reject, or reverse payments under its rules.
7. SMS
Somavue may send transactional SMS messages for authentication, invitations, booking confirmations, reminders, check-in prompts, operational alerts, and payment-related events.
Shops are responsible for obtaining legally sufficient consent before sending messages to customers or staff through Somavue. Recipients may opt out of SMS by replying STOP where supported. Somavue does not sell or share SMS opt-in data for marketing purposes.
8. Prohibited Use
You may not use Somavue to:
- Violate law, professional rules, payment-network rules, or third-party rights.
- Transmit malware, abusive content, harassment, fraud, or deceptive messages.
- Attempt to bypass security controls, access another tenant's data, scrape the service, or reverse engineer non-public portions of the platform.
- Use Somavue for regulated activities outside the product's intended massage/bodywork shop scope without Somavue's written approval.
- Upload or transmit illegal content, including child sexual abuse material. Any detected CSAM may be reported to appropriate authorities.
9. Availability and Changes
Somavue may modify, suspend, or discontinue features as the product evolves. We aim to keep core shop operations reliable, but the service is provided on an "as is" and "as available" basis.
10. Intellectual Property and Feedback
Somavue owns the platform, software, design, documentation, and brand assets. Shops and their customers retain ownership of their submitted content and data, subject to the rights needed for Somavue to operate the service.
If you send feedback, suggestions, or ideas, you grant Somavue permission to use them without restriction or compensation.
11. Termination
You may stop using Somavue at any time. Somavue may suspend or terminate access for non-payment, security risk, unlawful use, violation of these Terms, or behavior that creates material operational or legal risk.
After termination, Somavue may retain records as required for legal, security, audit, payment, dispute, backup, or compliance purposes.
12. Disclaimers
Somavue disclaims all warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, and error-free operation.
Somavue does not warrant that shop-provided policies, intake text, consent language, deposit settings, tax settings, or public booking configuration comply with any specific law or professional requirement.
13. Limitation of Liability
To the maximum extent permitted by law, Somavue LLC and its affiliates, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business interruption.
To the maximum extent permitted by law, Somavue's aggregate liability for claims arising out of or relating to the service or these Terms will not exceed the greater of the fees retained by Somavue from the shop's payments in the six months before the claim or one hundred dollars ($100).
14. Indemnification
You agree to indemnify and hold harmless Somavue from claims, losses, liabilities, damages, penalties, and expenses arising from your use of the service, your shop's services or policies, your data, your violation of law, your customer communications, or your breach of these Terms.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute not subject to a separate written agreement will be brought in the state or federal courts located in Texas, and the parties consent to those courts' jurisdiction.
16. Changes to These Terms
Somavue may update these Terms from time to time. The updated Terms will show a new effective date. Continued use of the service after an update means you accept the updated Terms.
